Terms of Service

By accessing or using StemGod ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms apply to all users including artists ("Uploaders") and buyers ("Licensees").

StemGod is a marketplace that facilitates transactions between Uploaders and Licensees. StemGod is not a party to any license agreement between Uploaders and Licensees. StemGod does not guarantee the accuracy of any ownership representations made by Uploaders.

By uploading content to StemGod, you represent and warrant that: (a) You own all rights to the uploaded content or have explicit permission to license it; (b) The content does not infringe any third-party copyright, trademark, or other intellectual property right; (c) You have not used any third-party samples, loops, or recordings without proper licensing; (d) You will promptly disclose if any content is primarily AI-generated; (e) You accept full legal liability for any false representation of ownership. StemGod reserves the right to remove any content and terminate any account without notice for violations of these representations.

Each purchase generates a binding license agreement between the Uploader and Licensee. The full terms of Personal and Commercial licenses are displayed at checkout and must be accepted before purchase. StemGod generates and stores timestamped records of all license acceptances. DEFINITIONS: "Personal Use" means use strictly for private, non-revenue-generating purposes where no income of any kind is generated from the content containing the Work. Personal use does NOT include: YouTube videos with monetization enabled, Twitch Partner or Affiliate streams, TikTok Creator Fund content, sponsored or brand-deal content on any platform, client or work-for-hire productions, sync placements in film, television, advertisements, games, or podcasts, or any context in which a product or service is marketed or sold. "Commercial Use" means any use in a context that generates revenue, promotes a brand, is created for a third-party client, or is distributed on platforms where advertising or subscription revenue is generated. If you are unsure whether your intended use is commercial, it almost certainly is — upgrade to a Commercial License. Licensees who use the Work outside the scope of their purchased license are in breach of this Agreement and may be liable for copyright infringement under 17 U.S.C. § 501, including statutory damages of up to $150,000 per infringement.

StemGod charges a platform fee of 20% on each sale. Payment processing fees are charged separately by Stripe. Artists receive their earnings through Stripe Connect. StemGod displays exact fee breakdowns before each transaction. All sales are final for digital goods unless required by law.

StemGod complies with the Digital Millennium Copyright Act (DMCA). We maintain a designated DMCA agent (see /copyright) and will promptly remove content upon receipt of a valid takedown notice. Repeat infringers will have their accounts terminated. StemGod qualifies for DMCA safe harbor protection under 17 U.S.C. § 512.

Uploaders must disclose if content is primarily generated by artificial intelligence. Purely AI-generated content with no significant human creative contribution is prohibited. StemGod reserves the right to remove undisclosed AI-generated content. As of January 2025, purely AI-generated compositions may not be eligible for copyright protection.

Users may not: (a) Upload content they do not have rights to; (b) Circumvent download rate limits or security measures; (c) Use the platform for spam, harassment, or fraudulent activity; (d) Manipulate play counts, like counts, or any engagement metrics; (e) Initiate fraudulent chargebacks after downloading purchased content; (f) Upload content containing malware or harmful code.

To the maximum extent permitted by law, StemGod's total liability to any user shall not exceed the amount paid to StemGod by that user in the 12 months preceding the claim. StemGod is not liable for indirect, consequential, or punitive damages.

You agree to indemnify and hold harmless StemGod, its officers, directors, and employees from any claims, damages, and expenses (including attorney fees) arising from your use of the Platform, your uploads, your violation of these Terms, or your violation of any third party's rights.

StemGod reserves the right to terminate or suspend any account at any time for violation of these Terms, receipt of valid DMCA notices, fraudulent activity, or any conduct deemed harmful to the Platform or its users.

These Terms are governed by the laws of the State of Nevada, United States. Any disputes shall be resolved in the courts of Nevada.

StemGod may update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms. Material changes will be notified via email.
